These Terms and Conditions govern your access to and use of appistify.com and all services offered by Appistify Technologies ("Company", "we", "us", or "our"). By visiting our website, submitting an inquiry, or engaging us for any service, you confirm that you have read and agreed to be bound by these Terms. If you do not agree, please discontinue use of our website and services immediately.

These Terms operate under the laws of India including the Information Technology Act 2000, the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021, and the Indian Contract Act 1872, while also aligning with internationally recognised standards for digital service agreements.

By accessing appistify.com or initiating any form of engagement with us, you confirm that you are at least 18 years of age or are acting with full legal authority on behalf of a registered business entity. You also confirm that you have reviewed and accepted both these Terms and our Privacy Policy.

These Terms apply to everyone who interacts with Appistify Technologies, whether as a visitor, a prospective client, an active client, or any other user of our digital platforms or services.

Appistify Technologies provides end-to-end AI application development, custom software engineering, machine learning solutions, generative AI integration, mobile and web product development, AI consulting, and related technology services.

The specific scope of any engagement, including deliverables, timelines, pricing, and milestones, is defined in a separate Statement of Work or Service Agreement executed between both parties. Appistify reserves the right to modify, pause, or discontinue any service offering at any time. We shall not hold liability for any impact such changes may have on users or third parties.

All content published on appistify.com, including written copy, design elements, graphics, logos, code, iconography, and visual assets, is the exclusive property of Appistify Technologies or its licensed content partners and is protected under applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to browse and view our website content for personal and non-commercial purposes only. You may not reproduce, distribute, republish, or commercially exploit any part of this website without prior written authorisation. You may not modify or create derivative works from our content, nor may you remove or alter any proprietary notices or labels associated with our materials.

Ownership of intellectual property created as part of a client engagement is governed entirely by the terms stated in the executed Service Agreement or Statement of Work for that project.

When you engage Appistify Technologies for any service, you take on certain responsibilities that are essential to a successful delivery. You agree to provide accurate, complete, and timely information as required by our team throughout the project lifecycle. You agree to assign a designated point of contact who has the authority to make decisions and approvals on your behalf.

You also confirm that any materials, data, content, or assets you share with us are legally yours to share and do not infringe the intellectual property or rights of any third party. You are responsible for complying with all laws and regulations applicable to your own business operations throughout your engagement with us. Failure to meet these obligations may result in project delays or service interruptions for which Appistify Technologies bears no responsibility.

All fees are agreed upon in the applicable Service Agreement or Statement of Work prior to engagement. Unless stated otherwise in a specific agreement, invoices are due within 15 days of the invoice date. Late payments may attract interest at a rate of 1.5% per month or the maximum permissible rate under applicable law, whichever is lower.

All quoted fees are exclusive of applicable taxes. Goods and Services Tax (GST) as applicable under Indian law will be charged separately on top of the agreed service fee. Appistify Technologies reserves the right to pause or suspend active services in cases of non-payment until all outstanding dues have been cleared.

We do not store or process your payment card information at any point. All transactions are handled by certified third-party payment processors operating under their own compliance frameworks.

Both Appistify Technologies and the client agree to treat as confidential any proprietary, technical, or business information shared during the course of an engagement. Neither party will disclose such information to any third party without prior written consent from the other, except where disclosure is required by law or regulation, where access is granted to employees or contractors who need it solely to deliver the agreed services, or where the information has entered the public domain through no fault of either party.

This confidentiality obligation remains in effect for three years following the conclusion of any service engagement, unless a separately executed Non-Disclosure Agreement specifies a different duration.

To the maximum extent permitted under applicable law, Appistify Technologies shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our website or services. This includes but is not limited to loss of revenue, business opportunities, data, or goodwill.

Our total aggregate liability for any claim arising from these Terms or our services shall not exceed the total amount paid by you to Appistify Technologies in the three months immediately preceding the event that gave rise to the claim.

Nothing in these Terms limits liability for gross negligence, fraud, fraudulent misrepresentation, or any other matter that cannot be legally excluded under Indian law.

Our website and all content published on it are provided on an "as is" and "as available" basis. Appistify Technologies makes no express or implied warranties regarding the website, including warranties of merchantability, fitness for a specific purpose, or non-infringement. We do not warrant that the website will be available at all times, free from errors, or free from viruses or other harmful components. We do not guarantee the accuracy or completeness of any information presented on the website.

By using appistify.com or our services, you agree not to:

• Violate any local, national, or international law or regulation in connection with your use.
• Transmit unsolicited promotional material or spam through any channel associated with our website.
• Attempt unauthorised access to any part of our systems, infrastructure, or client data.
• Introduce malware, viruses, or any technically harmful material into our environment.
• Scrape, harvest, or collect contact information or other data from our website without explicit permission.

Our website may contain links to external platforms and third-party websites for informational purposes. The presence of these links does not constitute an endorsement of those websites or their content. Appistify Technologies has no control over third-party content and accepts no liability for any loss or damage arising from your use of those sites. We recommend reviewing the terms and privacy policies of any external platform before engaging with it.

Appistify Technologies reserves the right to suspend or terminate your access to our website or services at our sole discretion, without prior notice, if we determine that your conduct violates these Terms, is harmful to other users, or is otherwise detrimental to our operations or reputation.

Upon termination of a service engagement, all clauses of these Terms that are intended to survive by their nature will continue to apply, including those relating to intellectual property, confidentiality, limitation of liability, and disclaimer of warranties.

These Terms are governed by the laws of India. In the event of any dispute arising from these Terms or our services, both parties will first attempt resolution through good-faith negotiation within 30 days of written notice from either party. If negotiation does not resolve the matter, the dispute will be referred to binding arbitration conducted under the Arbitration and Conciliation Act 1996 (India), with the seat of arbitration in India and proceedings conducted in English. For interim or injunctive relief, both parties submit to the jurisdiction of competent courts in India.

In accordance with the Information Technology Act 2000 and applicable rules, a designated Grievance Officer is available to address complaints related to our website or these Terms. All grievances can be directed to hello@appistify.com. We commit to acknowledging every grievance within 24 hours and resolving it within 15 days of receipt.

Appistify Technologies may update these Terms at any time. When changes are made, the effective date on this page will be revised accordingly. Your continued use of appistify.com or our services after any update constitutes acceptance of the revised Terms. We will make reasonable efforts to notify clients of material changes via email or a prominent notice on the website.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full effect. The invalid provision will be revised to the minimum extent necessary to become enforceable.

These Terms, read together with our Privacy Policy and any applicable Service Agreement, represent the entire agreement between you and Appistify Technologies regarding use of our website and services. They supersede all prior communications, representations, and understandings on these matters.
